We are seeking an experienced Assistant Company Secretary to join the Legal and Governance team in a part-time capacity. This role plays a key part in supporting the Board and Committees, maintaining strong governance frameworks, and ensuring compliance with statutory and regulatory obligations.
The successful candidate will be highly organised, detail-oriented, and comfortable managing board and governance processes to a high standard. The role offers flexibility, with a core presence ideally across Tuesday, Wednesday, and Thursday, and some variation as needed around board meetings.
Key Responsibilities
- Provide high-quality company secretariat support to the Board and Committees, including drafting agendas, preparing and distributing papers, and taking accurate minutes.
- Maintain statutory registers, corporate records, and governance documentation in line with legal and regulatory requirements.
- Coordinate board and committee meetings, ensuring efficient organisation and compliance with governance best practice.
- Manage timely lodgement of filings and regulatory reports (ASIC, Austrac, etc).
- Maintain and update governance policies, charters, and procedures in line with changing requirements and board expectations.
- Support Directors and senior leadership with governance advice and secretariat support.
- Liaise with key external stakeholders, including trustees and regulatory bodies.
- Maintain a central governance record and support effective use of the Diligent board portal.
About You
- Minimum 5 years’ experience in a company secretarial or governance role.
- Strong understanding of corporate governance, the Corporations Act, and ASIC regulatory requirements.
- Comfortable preparing board papers, taking minutes, and attending meetings.
- Confident using board management software – experience with Diligent preferred.
- Excellent communication and interpersonal skills – able to work with stakeholders at all levels.
- Highly organised with strong attention to detail and the ability to manage competing deadlines.
- Strong working knowledge of Microsoft Office (Word, Excel, PowerPoint).
- Membership with GIA or ICSA (or working towards) is desirable.
